1. About Us. He Gets Us, LLC is a Tennessee nonprofit limited liability company organized and operated exclusively for Christian religious purposes. He Gets Us, LLC is wholly owned and managed by Come Near, Inc., a North Carolina nonprofit corporation that is tax exempt under Section 501(c)(3) of the Internal Revenue Code (Come Near, Inc. and He Gets Us, LLC are collectively referred to as “we,” “our,” or “He Gets Us” hereinafter).

2. Agreement. By using the Sites (as defined below), you agree to comply with and be bound by the following terms and conditions (the “Terms”). Please read the Terms carefully, as they describe the terms and conditions that govern your access to, use of, and/or interaction with www.hegetsus.com and all affiliated URLs, subdomains, and applications owned or operated by us (each a “Site”, and collectively the “Sites”) and the services offered on the Sites (“Services”). The Terms are a legally binding agreement between you, as an individual or entity that uses or accesses the Sites and/or Services (referred to as “you”, “your” hereinafter), and us. Your access to and use of the Sites is conditioned on your acceptance of and compliance with the Terms, and by accessing or using the Sites, you agree to be bound by the Terms. If you disagree with any part of the Terms, then you may not access or use the Sites. Nothing in these Terms shall be deemed to confer any third-party rights or benefits. We reserve the right to update, change or modify these Terms at any time by posting the modified Terms to the Sites. Changes to the Terms are effective immediately upon posting or as stated in the updated Terms. For material changes that may affect your rights, we will provide advance notice where required by applicable law. You can view the most recent version of these Terms at any time at https://hegetsus.com/. Your continued use of or access to the Sites or Services after any changes have been made to the Terms signifies and confirms your acceptance of any such changes or amendments to the Terms. If you do not agree with changes, you should discontinue use of the Sites. If you access or interact with our social media accounts, the handling of your personal data is governed by our Privacy Policy and the Terms. Notwithstanding anything herein to the contrary, if you access or interact with our social media accounts, our handling of any of your personal data that is collected or processed in that context is addressed in the Privacy Policy or Terms which, together with any updates, changes, or modifications to the same, will be available at https://hegetsus.com/. 

3. Privacy Policy. Your access to and use of the Sites is also governed by our Privacy Policy. Please review our Privacy Policy at https://hegetsus.com/en/privacy. In the event of a conflict between the Terms and the Privacy Policy with respect to personal data, the Privacy Policy controls.

4. Ownership. All content included on our Sites, including, but not limited to, text graphics, photographs, images, moving images, sound, illustrations, software and video clips, is and shall continue to be the property of He Gets Us or its licensors and is protected under applicable copyright, patent, trademark and other intellectual property rights. Any copying, redistribution, use or publication by you of any such content or any part of the Sites is prohibited, except as expressly permitted in these Terms. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of the Sites except as expressly permitted under the Terms or applicable law.

5. Corporate Identification and Trademarks. All trademarks, service marks and trade names used on or in connection with the Sites, including, but not limited to, corporate names and logos of He Gets Us and its affiliates, are trademarks or registered trademarks of He Gets Us or its affiliates, partners or licensors. You may not use, copy, reproduce, republish, upload, post, transmit, distribute or modify such trademarks in any way without He Gets Us’s express prior written consent.

6. Your Submissions. Where He Gets Us has specifically invited or requested user-submitted content, we encourage individuals to make appropriate and related submissions to He Gets Us in connection with the Sites and Services, provided such submissions comply with the Terms. Any submissions you make remain your intellectual property. By making a submission or posting content on our Sites or Services, you expressly grant He Gets Us a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, full sub-licensable, worldwide right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, perform and display such content, in whole or in part, and in any form throughout the world in any media or technology, whether now known or hereafter discovered, including all promotion, advertising, marketing, merchandising, publicity and any other ancillary uses thereof, and including the unrestricted right to sublicense such rights in perpetuity worldwide. Notwithstanding the foregoing license grant, to the extent any submission contains personal data, such personal data will be processed in accordance with our Privacy Policy and applicable data protection laws, including without limitation any rights of deletion, correction or restriction of processing that may apply under such laws. We have no obligation to review, post or otherwise use any submission, and we may reject or refuse any submissions, in whole or in part, for any reason without notice.

To the extent that a submission includes personal data or sensitive personal data (as defined under applicable law), our collection, use, disclosure, retention and protection of such data is governed exclusively by our Privacy Policy. Nothing in the Terms limits, modifies or waives any rights or choices available to users under the Privacy Policy.

By making any such submission, you represent and warrant the following:

(a) Your submission does not infringe the copyright, trademark, patent or other intellectual property right of any third party. If your submission is not your original work, you have obtained all necessary permissions and/or licenses required to make such submission in a non-infringing manner.

(b) Your submission does not violate any third party’s right to privacy or publicity.

(c) Your submission is related to the content of the Sites or Services and is appropriate for use and review by a general audience.

(d) Your submission is respectful of others. He Gets Us will not tolerate vulgar or otherwise inappropriate language, submissions that incite violence, submissions meant to intimidate or harass others or submissions that are defamatory, slanderous, indecent, obscene or sexually explicit.

(e) Your submission does not contain any commercial materials and is solely for your personal, non-commercial use and engagement.

(f) Your submission does not seek to impersonate any other person or entity.

(g) Your submission is made from the United States and you are at least thirteen (13) years of age.

Submissions that do not comply with these requirements are subject to removal and users who make such submissions may be denied access to the Sites and Services at He Gets Us’s sole discretion. He Gets Us reserves the right to contact law enforcement or other appropriate authorities, consistent with applicable law, in connection with any materials that we view as threatening to the health and well-being of any person or entity. He Gets Us is not responsible for any user submissions and the content contained within such submissions. You may be exposed to content on the Sites and Services that you find offensive, objectionable, harmful, inaccurate or deceptive. He Gets Us makes no representations or warranties regarding user submissions or other content available through the Sites and Services, and your use of the Sites and Services, along with any associated risks, is at your own risk.

7. Intended Audience. The Sites are operated from the United States of America and are intended only for users located in the United States of America who are 13 years of age or older. The Sites are not intended for any children under the age of 13. If you are under the age of 13, please do not use the Sites or provide any personal information about yourself to us. We do not have actual knowledge that we sell or share Personal Data of consumers under the age of 13. Our Sites do not include age-gating or age verification, and we rely on parents and guardians to supervise minors’ use of the Sites. If we learn that we have collected Personal Data from a child under 13 without parental consent, we will delete that information promptly. 8. Other Services. You may be required to enter into a separate agreement, whether online or offline, with He Gets Us or our affiliates to receive our Services (each, an “Additional Agreement”). If there is any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms, but only in relation to the Service that is the subject matter of the Additional Agreement.

9. Site Use. You agree to use the Sites and Services solely for your own lawful, non-commercial purposes. He Gets Us grants you a limited, personal, revocable, non-transferable, non-sublicensable and nonexclusive license to use this site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. You agree not to copy materials on the site, reverse engineer or break into the site or use materials, products or Services in violation of any law or the legal rights of any third party. Your access to and use of the Sites is at the discretion of He Gets Us and He Gets Us may terminate your use of the Sites at any time.

10. Compliance with Laws. You agree to comply with all applicable laws regarding your use of the Sites. You further agree that information you provide is truthful and accurate to the best of your knowledge.

11. Indemnification. You agree to indemnify, defend and hold He Gets Us and our officers, directors, partners, employees and affiliates, harmless from any liability, loss, claim and expense, including reasonable attorney’s fees, related to (a) your material breach of these Terms, (b) your willful misconduct, or (c) your violation of any third party’s rights, to the extent permitted by applicable law.

12. Third Party Materials. He Gets Us may allow you to access content, products or services offered by third parties through hyperlinks (in the form of word links, banners, channels or otherwise), API or other tools to connect to such third parties’ website. You are cautioned to read the terms and conditions and/or privacy policies of any third-party websites before using them. You acknowledge that He Gets Us has no control over such third parties’ websites, does not monitor such websites and shall not be responsible or liable to anyone for such websites, or any content, products or services made available on such websites.

13. Disclaimer. THE INFORMATION ON THIS SITE IS PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS. YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. HE GETS US DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SITE SHALL BE TO DISCONTINUE USING THE SITE. EACH USER HEREBY FURTHER AGREES THAT HE GETS US IS NOT RESPONSIBLE, AND SHALL HAVE NO LIABILITY TO YOU, FOR ANY MATERIALS PROVIDED BY OR POSTED BY THIRD PARTIES.

14. Limitation of Liability. UNDER NO CIRCUMSTANCES WILL HE GETS US BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, SERVICES, YOUR SITE USE OR ANY CONTENT PROVIDED IN THE SITE AND SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE, SERVICES AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.

You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, certain exclusions or limitations in these Terms that directly conflict with such laws may not apply to you.

15. Use of Information. He Gets Us may use information collected in connection with your use of the Sites and Services in accordance with its Privacy Policy and applicable law. Nothing in the Terms authorizes He Gets Us to use, disclose or transfer personal data in a manner inconsistent with its Privacy Policy.

16. Applicable Law. You agree that the laws of the state of North Carolina without regard to conflicts of laws provisions will govern these Terms and any dispute that may arise between you and He Gets Us or its employees, officers, directors, agents, representatives or affiliates.

17. Severability. If any provision of these Terms shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

18. Waiver. The failure of He Gets Us to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver of these Terms by He Gets Us must be in writing and signed by an authorized representative of He Gets Us.

19. Termination. He Gets Us may terminate these Terms and restrict, limit or terminate your access to the Sites and Services at any time, with or without notice, for any reason, in He Gets Us’s sole discretion. He Gets Us may launch, change, upgrade, impose conditions to, suspend or stop any Services (or any features within the Services) without prior notice to you.

20. Relationship of the Parties. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by the Terms.

21. Headings. Headings in these Terms are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

22. Assignment. He Gets Us shall have the right to assign these Terms, including all of our rights, titles, benefits, interests obligations and duties in the Terms, to any person or entity, including any affiliates, subsidiaries or successors in interest of He Gets Us. You may not assign, in whole or part, these Terms to any person or entity.

23. Entire Agreement. These Terms constitutes the complete understanding between you and He Gets Us and governs the terms and conditions of your access and use of the Sites and Services, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and He Gets Us with respect to the Sites and Services. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines or rules that may apply when you use the Sites.
